Terms of Service

1. Acceptance of Terms

By accessing or using GrocMind at grocmind.com or through our mobile applications, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you do not agree, do not use GrocMind.

2. Description of Service

GrocMind is an AI-powered meal planning platform that helps users:

• Generate personalized weekly meal plans using artificial intelligence
• Automatically compile ingredient lists based on planned meals
• Connect to third-party grocery services to add items to a cart and place orders
• Track pantry inventory and manage dietary preferences over time

GrocMind acts as a planning and coordination tool. Actual grocery orders are placed through and fulfilled by third-party services (Walmart, Amazon Fresh, Instacart, Kroger). We are not a grocery retailer and do not fulfill orders directly.

3. User Accounts

You must create an account to use GrocMind. You agree to:

• Provide accurate and complete registration information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized account access at support@grocmind.com
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Payment

GrocMind offers paid subscription plans. By subscribing:

• You authorize Thakkar Enterprises to charge your payment method through Stripe on a recurring basis at the then-current subscription rate
• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel anytime through your account settings; cancellation takes effect at the end of the current billing period
• All payments are processed by Stripe, Inc. and subject to Stripe's Terms of Service
• Prices may change with 30 days advance notice

5. Refund Policy

Subscription fees are generally non-refundable. However, if you experience a verified technical failure that prevented you from accessing the service, contact us within 7 days at support@grocmind.com and we will review your request on a case-by-case basis. We reserve the right to issue refunds at our sole discretion.

6. Third-Party Grocery Services

GrocMind integrates with third-party grocery platforms to place orders on your behalf. By connecting a grocery account, you:

• Authorize GrocMind to access your connected grocery account to add items to your cart and initiate orders
• Acknowledge that grocery availability, pricing, substitutions, and delivery are controlled entirely by the third-party service — not GrocMind
• Agree that GrocMind is not responsible for order errors, out-of-stock items, delivery failures, or charges applied by the grocery service
• Remain subject to the terms of service of each connected grocery platform

7. AI-Generated Content

Meal plans, recipes, and grocery suggestions are generated by artificial intelligence. You acknowledge that:

• AI-generated meal plans are suggestions only and may not meet every dietary need
• You are responsible for verifying that meals are appropriate for any medical conditions, allergies, or specific dietary requirements
• GrocMind is not a medical or nutritional service and does not provide medical advice
• AI outputs may occasionally contain errors, and we make no warranty that meal suggestions are complete, accurate, or suitable for your specific needs

8. Acceptable Use

You agree not to:

• Use GrocMind for any unlawful purpose or in violation of any applicable law
• Attempt to reverse-engineer, scrape, or copy the GrocMind platform or its AI systems
• Share your account credentials with others or create multiple accounts to circumvent subscription limits
• Use automated tools to access the service without our written permission
• Interfere with or disrupt the service or its infrastructure

9. Intellectual Property

All GrocMind software, design, trademarks, and content are owned by Thakkar Enterprises, Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable license to use GrocMind solely for your personal, non-commercial meal planning purposes. You may not reproduce, distribute, or create derivative works without our express written consent.

TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, THAKKAR ENTERPRISES, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF GROCMIND, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM GROCERY ORDER ERRORS, AI MEAL SUGGESTIONS, OR THIRD-PARTY SERVICE FAILURES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Thakkar Enterprises, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of GrocMind, your violation of these Terms, or your violation of any third party's rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or your use of GrocMind shall be resolved by binding arbitration in Santa Clara County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

14. Changes to Terms

We may update these Terms at any time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use of GrocMind after the effective date constitutes acceptance of the revised Terms.

15. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may terminate your account at any time through your account settings. Upon termination, your right to use GrocMind ceases immediately. Sections 9–13 survive termination.
